A confidential information must be identifiable and If you cannot clearly specify what the secret is then you have a concept and not a secret. You have need to be able to identify what is a company secret or information and others with access to that information must be know they have access to confidential information and what it is so they can take important steps to protect the information.

It must have a different value from not being generally known to the public. This is the basis for protecting confidential information and it has value to the business or services. The main Information that is not known to others, but which does not have economic value, is not deemed worth protecting in any event.

Now, it to be considered a secret a business or services must take the reasonable efforts to maintain its confidentiality information or data. What is reasonable depends on the nature of the business and the nature of the trade secret. Anything else that might be relevant to this question and the many important the secret the much more effort should be engaged in protecting it.

Lot of businesses have employees sign contracts listing type of company confidential information and need for the employees agree to keep it confidential of the information. This is a very good step, but not the only step.
