How to File a Letter for Articles of Organization
- 1). Go to the website for the Secretary of the State in which you intend to form your Limited Liability Company (see Resources for a directory). Once there, you will be able to download the required form. You will also want to make a note of the various fees for filing your letter of Articles of Organization, as well as whether the state in which you are intending to file requires only the original, or the original and one or more copies.
- 2). Fill out the form you downloaded from the Secretary of State's website. One of the most important pieces of information is the name of your new Limited Liability Company. There will be a space for your first choice of name and usually at least two additional spaces for alternate names in case your first choice is unavailable. All names must end in either LLC, Limited, Limited Liability Company, or LTD.
Additional information that you will fill in will be the name and address of your Registered Agent and the name(s) of the manager(s) of the LLC. Once completed, make a copy of the form for your records, and additional copies for the state, if required. - 3). Submit your completed form(s). In many states you can submit your forms to the Secretary of State by mail, fax, or online. Make sure that your form is signed and dated. If you are mailing your submission and paying by check, be sure your check is in the correct amount; otherwise, you will experience delays.
Unless you have paid for expedited service, you can expect to receive your certified documents back from the state in about four to six weeks.
